Terms of service

Last updated 16 October 2026

These terms are an agreement between Illumify Ltd ("we", "us") and the organisation that registers for Compleka ("you", "the customer"). By creating an account or using Compleka, the person doing so confirms they have authority to accept these terms for that organisation.

Compleka is for businesses and other organisations. It is not offered to consumers.

1. About us

Illumify Ltd is registered in England and Wales, company number 15921614. Registered office: International House, 55 Longsmith Street, Gloucester, Gloucestershire, GL1 2HT, United Kingdom. You can contact us at support@compleka.com.

2. The service

Compleka is a web application for managing compliance work: documents and their revisions, questions answered from your documents, questionnaires, gap analysis, audits, and nonconformances and corrective actions, with optional Microsoft 365 integration. We may improve and change the service over time. We will not make a change that materially reduces its core functionality during a paid billing period without telling you first.

3. Accounts and users

  • You may add as many users as you need. You are responsible for who you invite, the roles you give them, and what they do in your account.
  • Each user must have their own login and keep it secure. Tell us promptly at support@compleka.com if you suspect unauthorised access.
  • The information you give us when registering must be accurate, and you must keep your billing contact up to date.

4. Free trial

New companies get a 14-day free trial with full access to the platform. AI features need prepaid AI credit, including during the trial. If you do not start a subscription by the end of the trial, AI features stop working until you do, and we may restrict access to the rest of the application. Your data is kept until you close the account.

5. Subscription and payment

  • The subscription is £99 per month per company, plus VAT where it applies. It is billed monthly in advance through our payment provider, Stripe, and renews automatically each month.
  • We may change the subscription price by giving you at least 30 days’ notice by email. The new price applies from your next billing period after the notice ends, and you can cancel before then.
  • If a payment fails, we will let you know. AI features stop until it is resolved, and we may suspend other access if it stays unpaid.
  • Fees already paid are not refundable, except where these terms say otherwise or the law requires.

6. AI credit

  • AI features draw on prepaid AI credit held for your company. You can top up from £5 and can choose to turn on automatic recharge, which tops up your credit when the balance runs low, using your saved payment method, until you turn it off.
  • The cost of each AI task depends on how much work it involves. The usage dashboard in the application shows what has been used and what it cost.
  • When credit runs out, AI features stop until you top up. The rest of the application keeps working.
  • Unused AI credit does not expire while your account is open. It is not refunded when the account is closed, or when you cancel your subscription.

7. Cancelling and closing your account

  • You can cancel your subscription in the application at any time. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Cancelling does not delete your data. An administrator can close the account, which permanently deletes all of your company’s data and files. Please download anything you want to keep before doing so, because closed accounts cannot be restored.

8. Your content

You keep all rights in the documents, files and records you put into Compleka ("your content"). You give us permission to host, copy, process and display your content only as needed to provide and support the service for you. We do not use your content to train AI models, and we do not share it except as described in our privacy policy.

You are responsible for your content, including having the right to upload it and to connect any Microsoft 365 sites or folders to Compleka.

9. AI output and professional judgement

Compleka’s AI features draft answers, analyses and policy text from your documents. AI output can be incomplete or wrong. It is a starting point for your people, not a substitute for their judgement, and you are responsible for reviewing it before you rely on it or share it.

Compleka does not provide legal or professional advice, and using it does not by itself make your organisation compliant with, or certified to, any standard. Certification decisions are made by certification bodies.

References to standards such as ISO 27001 are to help you work with them. We are not affiliated with or endorsed by ISO or any certification body.

10. Acceptable use

You must not, and must not let anyone else:

  • use Compleka for anything unlawful, or to store or share content you have no right to use;
  • try to access another company’s data, probe or bypass our security, or disrupt the service (good-faith security research reported to us under our disclosure process is welcome);
  • upload malware, or use automated means to overload the service;
  • resell or provide the service to third parties, or copy or reverse engineer it, except as the law allows;
  • use Compleka or its output to build a competing product.

11. Third-party services

If you connect Microsoft 365, your use of it is governed by your agreement with Microsoft. We are not responsible for third-party services, or for changes they make that affect the integration, but we will make reasonable efforts to keep the integration working.

12. Availability and support

We aim to keep Compleka available at all times and will make reasonable efforts to schedule maintenance outside UK working hours. We do not guarantee uninterrupted or error-free service. Support is by email at support@compleka.com, during UK working hours.

13. Data protection

Each party will comply with UK data protection law. Our privacy policy explains how we handle personal data as a controller. For personal data in your content, you are the controller and we are your processor, and the following terms apply:

  1. We process that personal data only on your documented instructions, which are these terms and your use of the service, unless the law requires otherwise, in which case we will tell you if the law permits.
  2. Our staff and contractors who can access it are bound by confidentiality.
  3. We keep appropriate technical and organisational security measures in place, as described on our security page.
  4. You authorise the sub-processors listed in our privacy policy. We will give you notice of any new or replacement sub-processor, and you may object on reasonable grounds; if we cannot address the objection, you may cancel. We impose equivalent data protection obligations on each sub-processor and remain responsible for them.
  5. We only transfer the data outside the UK with appropriate safeguards in place.
  6. We will help you, taking into account the nature of the processing, to respond to requests from individuals, and with security, breach notification, impact assessments and consultation with the regulator.
  7. We will tell you without undue delay after becoming aware of a personal data breach affecting your content.
  8. When your account is closed, we delete the data, unless the law requires us to keep it.
  9. We will make available the information reasonably needed to show we meet these obligations, and allow for and contribute to reasonable audits, on reasonable notice and no more than once a year unless a breach or regulator requires it.

The subject matter of the processing is the provision of Compleka. It lasts for the duration of these terms. The personal data is whatever is contained in your content, typically names, job titles and contact details of your staff and contacts, and the data subjects are your users and people named in your content.

14. Confidentiality

Each party will keep the other’s confidential information confidential and use it only for the purposes of these terms. This does not apply to information that is public, already known to the recipient, independently developed, or that must be disclosed by law.

15. Our intellectual property

We own Compleka, its software and its content, other than your content. While your subscription or trial is active, we give you a non-exclusive, non-transferable right for your users to use Compleka for your internal business purposes. You own the output Compleka generates for you, such as answered questionnaires and drafted policies. If you send us suggestions, we may use them without obligation to you.

16. Liability

  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
  • Neither party is liable for loss of profits, revenue, business or goodwill, or for any indirect or consequential loss.
  • Subject to the above, each party’s total liability arising out of or in connection with these terms in any 12-month period is limited to the total fees you paid us in the 12 months before the event giving rise to the claim. This limit does not apply to your obligation to pay fees.
  • Except as set out in these terms, all warranties and conditions implied by law are excluded to the extent the law allows.

17. Suspension and termination

We may suspend access if payment is overdue, if your use breaches section 10, or if suspension is needed to protect the service or other customers. Where we can, we will warn you first and restore access once the issue is resolved.

Either party may end these terms by written notice if the other materially breaches them and does not put the breach right within 30 days of being asked to, or becomes insolvent. You may also end them at any time by cancelling and closing your account. If we decide to stop offering Compleka, we will give at least 30 days’ notice and refund any subscription fees paid for the period after the service ends.

Sections 8, 9, 13, 14, 15, 16 and 19 continue after these terms end.

18. Changes to these terms

We may update these terms. We will tell account administrators by email at least 30 days before a material change takes effect. If you do not agree to the change, you can cancel before it takes effect. Continuing to use Compleka after that date means you accept the updated terms.

19. General

  • Neither party is responsible for delays or failures caused by events beyond its reasonable control.
  • You may not transfer these terms without our consent. We may transfer them to a company that takes over our business, and will tell you if we do.
  • These terms, together with our privacy policy, are the whole agreement between us about Compleka. If any part is found unenforceable, the rest still applies. A failure to enforce a right is not a waiver of it. No one else has rights under these terms.
  • Notices to us go to support@compleka.com, and notices to you go to your account administrator’s email address.
  • These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
